Terms of service

1. Acceptance of terms

By accessing or using the ReturnWell platform (“the Platform”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, you must not use the Platform.

These Terms apply to all users of the Platform, including employers (“Client Organisations”), occupational health professionals (“Providers”), and individual users acting on behalf of either.

2. The service

ReturnWell provides a technology platform that facilitates the referral, matching, and management of occupational health assessments. ReturnWell is not itself an occupational health provider. Assessments are conducted by independent Providers who have agreed to separate terms with ReturnWell.

ReturnWell does not guarantee the availability of Providers for any particular case or the outcome of any assessment.

3. Account registration

To use the Platform, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.

You must notify us immediately at hello@returnwell.co.uk if you believe your account has been compromised.

4. Client obligations

Client Organisations agree to:

  • Obtain the informed consent of any employee before submitting a referral
  • Provide accurate information about the case at the time of referral
  • Pay invoices within the agreed payment terms
  • Use assessment reports only for the purposes for which they were commissioned
  • Comply with all applicable employment, data protection, and health and safety law

5. Provider obligations

Providers agree to:

  • Maintain current registration with the relevant professional regulatory body (e.g. HCPC)
  • Hold and maintain adequate professional indemnity insurance
  • Conduct assessments in accordance with professional standards and applicable law
  • Deliver reports within the agreed timeframe
  • Notify ReturnWell immediately of any change to their registration or compliance status

6. Fees and payment

Fees for assessments are as described on the Pricing page or as agreed in writing. Invoices are issued on case completion and are payable within 30 days unless otherwise agreed.

ReturnWell reserves the right to suspend access to the Platform for Client Organisations with outstanding overdue invoices.

7. Cancellation

Cases may be cancelled by the Client Organisation at any time before the assessment takes place at no charge. If cancellation occurs after the assessment has been conducted, a cancellation fee may apply as notified at the time.

8. Intellectual property

All intellectual property rights in the Platform and its content belong to ReturnWell Ltd or its licensors. Assessment reports commissioned by Client Organisations are owned by the commissioning organisation upon payment of the applicable fee.

9. Limitation of liability

To the maximum extent permitted by law, ReturnWell's liability in connection with the Platform and any case shall be limited to the fees paid for the relevant case. ReturnWell shall not be liable for indirect, consequential, or special losses.

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

10. Termination

Either party may terminate their use of the Platform at any time by giving written notice. ReturnWell may suspend or terminate accounts that breach these Terms, or for any other reason on reasonable notice.

On termination, outstanding invoices remain payable and provisions that by their nature should survive termination (including confidentiality and intellectual property) will continue to apply.

11. Governing law

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

12. Changes to these terms

We may update these Terms from time to time. We will notify registered users of material changes by email at least 14 days before they take effect. Continued use of the Platform after that date constitutes acceptance of the updated Terms.
